Glivi Terms of Service

1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the Glivi service available at https://chat.glivi.co.id (the "Service"), operated by Glivi ("Glivi", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to both you and that organization. If you do not agree to these Terms, do not use the Service.
2. Description of the Service
Glivi is a WhatsApp-based customer-chat and customer relationship management (CRM) platform built on the WhatsApp Business Platform and the Meta Cloud API. The Service enables businesses to receive, organize, and respond to customer conversations on WhatsApp and to manage related contact, order, and CRM information. Messaging functionality depends on the WhatsApp Business Platform and Meta Cloud API, which are provided by Meta and subject to Meta's own terms and availability.
3. Accounts and Registration
To use the Service you must register an account and connect a valid WhatsApp Business Account and phone number. You agree to provide accurate information, keep your credentials confidential, and remain responsible for all activity under your account. You must promptly notify us at admin@glivi.co.id of any unauthorized use. You are responsible for ensuring that your staff and team members who access the Service comply with these Terms.
4. Acceptable Use
You agree to use the Service lawfully and responsibly. In particular, you must not:
- Send spam, bulk unsolicited messages, or any communications that violate the WhatsApp Business Platform rules.
- Use the Service to harass, defraud, deceive, or harm others, or to distribute unlawful, infringing, or harmful content.
- Violate the WhatsApp Business Policy, the WhatsApp Business Messaging Policy, the Meta platform terms, or any other applicable Meta or WhatsApp policy.
- Use the Service to circumvent, evade, or work around any Meta or WhatsApp enforcement action, restriction, rate limit, suspension, or ban. The Service must not be used as a tool to bypass Meta enforcement.
- Attempt to reverse engineer, disrupt, overload, or gain unauthorized access to the Service or its infrastructure.
You are solely responsible for the content of the messages you send and for your compliance with all laws and platform policies applicable to your messaging.
5. Messaging Consent and Opt-In
You are responsible for obtaining and maintaining valid opt-in and consent from your customers before messaging them on WhatsApp, as required by the WhatsApp Business Platform and applicable law. You must honor opt-out and unsubscribe requests promptly, send only messages permitted by the relevant message category and template rules, and maintain records of consent where required. Glivi is not responsible for messaging you send without proper consent.
6. Intellectual Property
The Service, including its software, design, the "Glivi" name and wordmark, logos, and all related intellectual property, is owned by Glivi or its licensors and is protected by applicable law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. You retain ownership of your own content and CRM data; you grant us a limited license to host, process, and transmit that content solely to provide the Service. "WhatsApp", "Meta", and related marks belong to their respective owners.
7. Third-Party Services
The Service relies on third-party platforms, including the WhatsApp Business Platform, the Meta Cloud API, and hosting providers. Your use of those platforms is also subject to their respective terms and policies. We are not responsible for the acts, omissions, availability, or policy decisions of Meta, WhatsApp, or other third parties, including any suspension or restriction they apply to your account.
8. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that messages will always be delivered, given that delivery depends on Meta and the WhatsApp Business Platform.
9. Limitation of Liability
To the maximum extent permitted by law, Glivi and its affiliates, officers, and staff will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or, if no amounts were paid, a nominal sum.
10. Indemnification
You agree to indemnify and hold harmless Glivi and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content or messaging, your violation of these Terms, or your violation of any law or third-party right, including Meta or WhatsApp policies.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, misuse the Service, create risk or legal exposure, or breach WhatsApp or Meta policies, and we may do so immediately where necessary to protect the Service or comply with law. Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
12. Changes to the Service and These Terms
We may modify, suspend, or discontinue parts of the Service, and we may update these Terms from time to time. When we update these Terms, we will revise the "Effective Date" above and publish the current version at https://chat.glivi.co.id/terms. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service will be subject to the jurisdiction of the competent courts in Indonesia, except where applicable law provides otherwise.
